3. LEGAL BASIS FOR PROCESSING

Client project data is retained for a minimum of 5 years following project completion to comply with contractual and tax obligations. Marketing consent data is retained until withdrawal of consent. Technical analytics data is anonymized after 12 months.

5. YOUR RIGHTS UNDER GDPR

As a data subject, you have the following rights:

  • Right of Access (Article 15): Obtain confirmation of whether we process your data and request a copy.
  • Right to Rectification (Article 16): Request correction of inaccurate or incomplete data.

6. DATA SECURITY

VertexPrimeWorks implements appropriate technical and organizational measures to protect your personal data, including encryption in transit (TLS 1.3), access controls, regular security audits, and employee data protection training. In the event of a personal data breach, we will notify the relevant supervisory authority within 72 hours and affected data subjects without undue delay.

7. INTERNATIONAL DATA TRANSFERS

We do not transfer personal data outside the European Economic Area (EEA) without appropriate safeguards. Where transfers are necessary, we rely on Standard Contractual Clauses (SCCs) approved by the European Commission or ensure the recipient country provides an adequate level of protection.

1. ACCEPTANCE OF TERMS

By engaging the services of VertexPrimeWorks ("the Company"), located at Calle Gran Vía, 28, 28013 Madrid, España, you ("the Client") agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between the Client and VertexPrimeWorks governing the provision of ERP/CRM implementation, integration, and consulting services.

2. SCOPE OF SERVICES

VertexPrimeWorks provides enterprise resource planning (ERP) and customer relationship management (CRM) implementation, integration, customization, training, and support services. The specific scope, deliverables, timeline, and pricing for each engagement will be defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties.

3. CLIENT OBLIGATIONS

The Client agrees to:

  • Provide timely access to necessary systems, data, and personnel required for project execution.
  • Designate a primary point of contact with decision-making authority for project milestones.
  • Review and approve deliverables within the agreed review periods.
  • Ensure all provided data and materials do not infringe upon third-party rights.

4. INTELLECTUAL PROPERTY

All custom code, configurations, and documentation created specifically for the Client during an engagement shall become the Client's property upon full payment. VertexPrimeWorks retains ownership of all pre-existing intellectual property, frameworks, tools, and methodologies used in service delivery. The Client receives a non-exclusive, perpetual license to use such background IP as embedded in the delivered solutions.

5. CONFIDENTIALITY

Both parties agree to maintain strict confidentiality of all proprietary information exchanged during the engagement. This obligation survives termination of the agreement for a period of 3 years. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.

6. LIMITATION OF LIABILITY

VertexPrimeWorks' total aggregate liability under any engagement shall not exceed the total fees paid by the Client for the specific service giving rise to the claim. In no event shall VertexPrimeWorks be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

7. GOVERNING LAW

These Terms of Service are governed by the laws of Spain and the European Union. Any disputes shall be resolved through mediation, and failing that, submitted to the exclusive jurisdiction of the courts of Madrid, España.

SECTOR 04 · REFUND POLICY

REFUND POLICY

1. GENERAL REFUND TERMS

VertexPrimeWorks, located at Calle Gran Vía, 28, 28013 Madrid, España, is committed to delivering services that meet the agreed specifications outlined in each Statement of Work. Refunds are handled in accordance with Spanish consumer protection law (Real Decreto Legislativo 1/2007) and the EU Consumer Rights Directive (2011/83/EU).

2. PRE-PROJECT CANCELLATION

If the Client cancels a project before work has commenced (within 14 calendar days of signing the Service Agreement), a full refund of any advance payments will be issued within 14 business days. Cancellations after work has commenced are subject to the following terms.

3. MID-PROJECT REFUNDS

For projects cancelled after commencement:

  • All work completed and approved up to the cancellation date will be invoiced at the agreed rate.
  • Any advance payments exceeding the value of completed work will be refunded proportionally.
  • Non-refundable third-party costs incurred on behalf of the Client (software licenses, cloud infrastructure) will be deducted from any refund amount.

4. SERVICE QUALITY GUARANTEE

If delivered services materially fail to meet the specifications defined in the Statement of Work, the Client may request remediation within 30 days of delivery. If VertexPrimeWorks cannot remediate the identified deficiencies within a reasonable timeframe (not exceeding 30 additional days), the Client is entitled to a proportional refund for the non-conforming portion of the services.

5. SUBSCRIPTION AND RETAINER SERVICES

Monthly retainer and subscription services may be cancelled with 30 days' written notice. Refunds for the current billing period are not available once services have been rendered. Annual prepaid subscriptions are eligible for a pro-rata refund for unused months, minus a 10% administrative fee.

6. REFUND PROCESSING

All approved refunds will be processed within 14 business days using the original payment method. For payments made via bank transfer, refunds will be issued to the originating account. 7. DISPUTE RESOLUTION

In the event of a refund dispute, both parties agree to attempt resolution through good-faith negotiation. If negotiation fails, the dispute shall be submitted to mediation under the auspices of the Madrid Chamber of Commerce, followed by binding arbitration if necessary, in accordance with Spanish arbitration law.
